Terms of Service

1. Scope

These Terms of Service ("Terms") govern the use of Korpus (the "Service"), provided by:

In these Terms, the provider is "we" and the person who uses the Service is "you". The Privacy Policy explains how we process personal data and is part of these Terms. Differing terms of yours apply only if we agree to them in writing.

Running Korpus in your own AWS account (Enterprise) is governed by a separate written contract.

2. The Service

Korpus is shared memory for people and their AI agents. With Korpus you can:

There is a free plan and a paid plan, Plus. Plus adds data tables, files and full-text search. The Service is hosted by Amazon Web Services in Frankfurt (eu-central-1).

You need a current web browser and an internet connection. Connected AI apps need their own accounts with their providers.

3. Account

You need an account to use Korpus. You accept these Terms when you sign up, and the contract is concluded when you complete the sign-up. Later changes to these Terms follow section 13. While Korpus is in early access, we may limit who can sign up.

An account belongs to one person. Give a correct email address, and keep your passkey and your email inbox secure, because they are how you sign in.

You are responsible for everything done through your account. That includes what your agents and the apps you connect to them do (section 5).

4. Plans and prices

There are two plans: Free and Plus. Free costs nothing. Plus is a monthly subscription; the price, including taxes, is shown at checkout before you order.

Plus is sold and billed by Sold through Link, LLC (link.com), a Stripe company, as merchant of record. You buy the subscription from it, under its own purchase terms, which you accept at checkout. It takes the payment, issues receipts and invoices, and handles taxes and payment support (Link support). We provide the Service; these Terms govern how you use it.

Plus renews every month until it is cancelled. You can cancel at any time, effective at the end of the paid period: in the app under Settings, at link.com, or on the page Cancel or withdraw contracts here, which needs no sign-in. After the period ends, your account continues on Free. A free account never turns into a paid one on its own.

Every plan has usage limits: the number of bundles, the size of bundles, files and single writes, and the request rate. The app shows the limits for your plan.

5. Agents and connected AI apps

Korpus treats agents as users of their own. Every agent belongs to a person, and that person answers for it. For your agents, that person is you.

5.1 Your rules

You decide what each agent may do. You set its rules: the paths it can reach and its create, read, update and delete rights.

Korpus enforces these rules. Every write an agent makes is stamped with its name and yours. Keep each agent's rules as narrow as its job allows.

The built-in admin agent has every right your account has. Use it only for work in which a person is in the loop.

5.2 Your responsibility

Anything an agent does within its rules counts as done by you. That includes creating, changing and deleting content. It also includes acting on a prompt that an agent picked up from content it read.

You choose which AI apps you connect. You can revoke any connection at any time.

5.3 Third-party AI apps

AI apps such as Claude, ChatGPT or Cursor are services of third parties. Your agreements with their providers govern them. We do not control what these apps write, and output from AI models can be wrong. Check what your agents produce before you rely on it.

6. Your content

You keep all rights to the content you store in Korpus. You grant us the rights we need to run the Service for you:

We do not sell your content, and we do not use it to train AI models. We look at it only in these cases:

The operator's access is read only, and every opening of a bundle is logged. The Privacy Policy (B.7) explains it.

You make sure you have the right to store and share your content, and that it breaks no law.

If your content contains personal data of other people, we process it on your behalf. A data processing agreement under Art. 28 GDPR is available on request.

Publishing. When you publish a bundle, you allow other Korpus users to read it, copy it into their own bundles and follow its updates within Korpus. You can withdraw a publication at any time; copies already made stay with the users who made them.

7. Revisions, backups and export

Korpus keeps the current version of your content until you delete it. Earlier revisions are kept for 365 days. Korpus is not a backup service; keep your own copies of content you cannot afford to lose.

You can read out all your content at any time through the web app, the REST API or MCP.

8. Acceptable use

You agree not to:

If you break these rules, we may block the content or block the account concerned. We consider your legitimate interests and tell you beforehand. Where security or a serious breach requires it, we may block an account without prior notice; we then tell you by email afterwards, unless the law forbids it.

9. Availability and changes to the Service

We work for high availability but do not guarantee a particular uptime, and we offer no service level agreement. Maintenance, updates and faults can interrupt the Service for a time.

We develop Korpus further and may change features, provided the changes are reasonable for you. If a change significantly reduces a paid feature, you may end the contract.

10. Liability

10.1 Limitation of liability

This section applies to Free and to Plus alike.

We are liable without limitation for intent (Vorsatz) and gross negligence (grobe Fahrlässigkeit), and for injury to life, body or health. Liability under the German Product Liability Act (Produkthaftungsgesetz) is not affected.

For slight negligence (leichte Fahrlässigkeit), we are liable only if we breach a material contractual obligation (Kardinalpflicht): an obligation that makes proper performance of the contract possible in the first place and on whose fulfilment you may regularly rely. In that case our liability is limited to the damage that is typical and foreseeable for this kind of contract.

10.2 Agents and third-party services

We are not liable for damage caused by (a) actions an agent takes within the rules you set for it, (b) the content, output or data processing of connected AI apps and their providers, or (c) outages of third-party services we do not control and are not at fault for. This does not limit our liability under 10.1 for intent, gross negligence, injury to life, body or health, the Product Liability Act, or a breach of a material contractual obligation.

10.3 Users outside the EEA

If you live outside the European Economic Area, and where the law of your country allows us to exclude warranties, the Service is provided "as is" and "as available", without warranties of any kind. For users in the EEA, the statutory warranty rights apply without change.

11. Term and termination

The contract runs for an indefinite period. You can end it at any time by deleting your account in the app. The Privacy Policy says what happens to your data then. Plus is cancelled as described in section 4; deleting your account also ends Plus at once.

We can end a free account with 30 days' notice by email. Both parties may terminate for good cause without notice. We delete an account only for good cause, as under section 8. Before we do, we give you the chance to save your content, unless the law or the seriousness of the breach rules that out.

12. Right of withdrawal

If you order Plus as a consumer in the EU, you may withdraw from the contract within 14 days, without giving a reason. You can declare the withdrawal to Sold through Link, LLC, as its purchase terms describe, or on our page Cancel or withdraw contracts here. A withdrawal made there within 14 days of the order refunds the full price and ends Plus at once. We confirm receipt by email.

13. Changes to these Terms

We may change these Terms for good reason, such as a change in the law or in the Service. We announce changes at least 30 days before they take effect, by email or in the app.

A change that affects your rights or obligations takes effect for you only once you accept it in the app. Silence never counts as acceptance. Until you accept, the web app asks you each time it opens; your settings, the REST API and MCP stay available, so you can read out your content and delete your account. If you do not accept, the previous Terms keep applying, and either party may end the contract: a free account with 30 days' notice, Plus at the end of its paid period.

14. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, the mandatory consumer protection rules of the country where you usually live still apply.

The exclusive place of jurisdiction is our place of business in Germany if you are a merchant, a legal entity under public law or a special fund under public law, or if you have no general place of jurisdiction in Germany.

The contract language is English. These Terms are always available at korpus.cloud/terms; we recommend saving a copy.

If a provision of these Terms is invalid, the rest remain valid, and the statutory rules take the invalid provision's place.

We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG).
